Terms and Conditions for Starlight Property Maintenance Ltd
Application and Entire Agreement
- These Terms and Conditions apply to the services detailed in our quotation or agreement (Services) provided by Starlight Property Maintenance Ltd, registered in England and Wales under number 14483138, whose registered office is at 14 Toddington Crescent, Chatham, England, ME5 9QT (we, us, or Supplier) to the client (you, Customer).
- By engaging our services, you accept these Terms and Conditions, which together with our quotation or agreement constitute the entire agreement between us, superseding any other terms.
- Any terms you seek to impose or incorporate or which are implied by trade, custom, or course of dealing are excluded.
Interpretation
- A “business day” means any day excluding Saturdays, Sundays, or public holidays in England and Wales.
- Words denoting the singular include the plural, and vice versa.
Services
- The description and scope of the Services are as outlined in our quotation or agreement. By accepting our quotation, you confirm you have not relied on any other representations or promises.
- We may make minor changes to the Services as required by applicable law or to address technical issues.
Pricing
- The price (Price) for the Services is as outlined in our quotation or agreement and includes applicable VAT unless stated otherwise.
- If costs increase due to factors beyond our control (e.g., material costs, taxes, or unforeseen complexities), we reserve the right to adjust the Price. You will be notified in advance.
- The Price includes standard tools and materials required to deliver the Services unless explicitly excluded.
Payment
- Invoices will be issued either:
- On completion of the Services; or
- At agreed milestones for ongoing work.
- Payments must be made within 30 days of the invoice date unless alternative credit terms are agreed.
- If payment is not received on time, we may:
- Suspend or terminate Services.
- Charge interest at 4% per annum above the Bank of England’s base rate until payment is received.
- Payments must be made in British Pounds without any deductions or offsets unless required by law.
Cancellation and Alteration
- You may cancel or amend the Services prior to acceptance of the quotation or agreement without charge.
- If you cancel after acceptance, you may be liable for costs incurred up to that point.
- Any changes to the scope of Services after acceptance may affect the Price and timeline. Changes must be agreed upon in writing.
Delivery and Access
- We will carry out the Services at the agreed address and during the agreed times.
- You must provide access to the property and ensure a safe working environment.
- If access is not provided as agreed, we may charge additional fees for rescheduling or delays.
Inspection and Acceptance
- Upon completion of the Services, you must inspect the work. Any issues must be reported within 7 days.
- If no issues are reported within this time, the Services will be deemed accepted.
- If there are defects or omissions, we will rectify them as appropriate under these Terms.
Risk and Title
- Risk for any materials or equipment supplied by us passes to you upon delivery to your property.
- Title to any materials will not transfer to you until full payment has been received.
Termination
We may terminate our agreement if:
- You breach these Terms and fail to remedy the breach within 7 days of notice.
- You become insolvent or unable to pay your debts as they fall due.
Limitation of Liability
- Our liability for any claims arising under or in connection with the Services is limited to the Price paid for the Services.
- We are not liable for:
- Indirect or consequential losses, including loss of profit or reputation.
- Delays caused by factors outside our reasonable control.
- Nothing in these Terms excludes liability for death or personal injury caused by our negligence or for fraudulent misrepresentation.
Data Protection
- We may process your personal data as necessary to provide the Services. All data will be handled in compliance with the General Data Protection Regulation (GDPR).

Force Majeure
Neither party shall be liable for delays or failures caused by events beyond their reasonable control, including but not limited to natural disasters, strikes, or government actions.
Notices
- All communications under these Terms must be in writing and sent to the most recent address or email provided by the recipient.
- Notices are deemed served:
- Upon delivery, if hand-delivered.
- Upon receipt, if sent by email.
- 5 business days after posting, if sent by mail.
Severability
If any clause in these Terms is found to be invalid or unenforceable, it will not affect the validity of the remaining clauses.
Governing Law and Jurisdiction
These Terms and any disputes arising from them are governed by the laws of England and Wales. Disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
